OFFICIAL RULES

 

Sponsored by Songs for Good (the “Sponsor”)

 

PARTICIPANT MAY PAY A SUGGESTED, OPTIONAL DONATION OF TEN (10) DOLLARS.  Songs for Good reserves the right to extend the entry deadline and increase or reduce entry fees for special promotions and/or entry deadline periods.  All times and dates are Pacific Time (“PT”). The contest begins on April 30, 2020 10:00 AM PT and  ends on July 19, 2020 11:59 PM PT (“Contest Period”).

The mission of Songs for Good is to amplify pro-democracy and youth-led civic engagement movements through music.

  • Eligibility: 
     

The “Contest” is open to any participants who are residents of the United States of the legal age of majority or older as of the date of your registration for this Contest unless you, as the participant, or younger than the legal age of majority with permission from your legal guardian(s) to participate in this Contest after your legal guardian(s) have fully read and agreed to these Official Rules. Employees of Sponsors and their respective parent companies, affiliates, subsidiaries, advertising, promotion, fulfillment, or other coordinating agencies, individuals providing services to Sponsors through an outsourcer or temporary employment agency during the Contest period, and their respective immediate family members and persons living in their same household, are not eligible to participate in the Contest. Participation in the Contest constitutes participant’s full and unconditional agreement to and acceptance of these Official Rules (“Official Rules”). THE CONTEST IS VOID WHERE RESTRICTED OR PROHIBITED BY LAW. 

 

  • How to Enter and Play: 

 

This Contest measures the participant’s ability to write original music for and inspire civic engagement with our partner organizations including RepresentUs, March for Our Lives, ZeroHour, National Children’s Campaign, and BridgeUSA, or other similar organizations. To qualify, the contestant must submit the lyrics including any audio and/or video production to Sponsor via Sponsor’s website. File types shall be URLs to YouTube, Vimeo, Instagram, TikTok or .MP4, .MOV, MP3, M4A or .WAV.

 

All entries submitted must be original songs and shall have proper licensing or ensure that it does not infringe on any copyrights or any other rights of any third parties. Songs may have multiple co-writers, but only one name should be designated as the participant on the entry form. All songwriters must be listed on the entry form in the field requesting the names of the songwriters. Please list the full name of the songwriter(s) - do not use initials. Participant shall, by entering, indemnify and hold Sponsor harmless from and against any claims inconsistent with the foregoing.

 

Songs should contain messages that are: 1) inspiring, 2) promote positive, general messages; 3) easily learned and reproduced; and 4) do not mention specific political figures, candidates, or legislation. 

 

Participants may enter multiple submissions. Only (1) one submission may advance to the review rounds per participant. Participants using or creating multiple accounts or violating any of these Official Rules may be disqualified. 

 

In addition, a participant may upload the submitted video (or shortened versions of it) to Instagram or TikTok and promote the submission with the hashtag #songsforgood2020challenge. The submissions with the highest  number of likes  per platform shall receive additional consideration as outlined in the Award Determination section.

 

  • Restrictions: 

    Including any other references contained in these Rules, the additional restrictions apply. You may not submit any entry that contain, refer, relate, promote, or suggest any of the following:

    • Sexually explicit or suggestive, violent or derogatory, profane or pornographic material; promotes alcohol, illegal drugs, tobacco, firearms/weapons (or use of any of the foregoing);

    • Activities that are unsafe or dangerous;

    • Content that is deemed obscene or offensive; 

    • Endorsement of any form of hate or hate group; 

    • Defamation or misrepresentation of Sponsor or its affiliates; 

    • Content embodying the names, likenesses, or other individuals or companies without written permission; 

    • Messages or images inconsistent with the positive images and/or good will to which Sponsor wishes to promote via the contest; 

    • Violation of Copyright laws and/or 

    • Violation of any other law or regulation. 

 

Any submissions containing the above restrictions will automatically be disqualified. Sponsor has the sole discretion to determine whether or not a submission contains any content it deems in violation of these restrictions. 

 

  • Award Determination: 

    All submissions shall be reviewed by an initial review panel selected by Sponsor. The review panel shall limit the pool of entries to ten (10). Review criteria shall include: 

    • Inspiring

    • Universal

    • Easy to Learn

 

In addition, the Participant with the highest amount of likes at the end of the Contest Period on Instagram and TikTok, respectively, shall automatically qualify for the second round of review.

 

Upon initial selection, the 12 participants who advance will be contacted by Sponsor to confirm participant’s interest in proceeding with the Contest. Thereafter, in the second round, RepresentUs, March for Our Lives, ZeroHour, National Children’s Campaign, and BridgeUSA will review the remaining submissions. The organizations shall use the same review criteria as above to select submissions to continue to the next voting category.

 

The top five (5) highest rated songs will then be announced upon closing of the 2nd round of voting. 

 

The participants with the top five (5) highest rated songs will be notified by email indicated on registration or through other social media outlets as they may apply.

 

The final round of voting will be a public vote using ranked choice voting. The highest rated song will then be announced upon closing of the final round of voting. The participant with the highest rated song will be notified by email indicated on registration or through other social media outlets as they may apply.

 

  • Awards and Odds:  
     

The “Awards” to be awarded from the Contest is as follows:


a) the five (5) participants with the highest rated songs will have their songs  performed at events featuring our partner organizations prior to November 3, 2020. The specifics of how and by whom the songs will be performed will be determined by Sponsor and the partner organizations following the award selection and given the nature of the music, may include other artists and/or the public.

b) the participant with the highest rated song will have his, her, or their song professionally recorded and produced by persons of interest within the music industry. Sponsor will pay for expenses travel, accommodations and per diem expenses for the songwriter of the highest rated song (erein, “Featured Songwriter”) and up to one other co-writer, if applicable to attend a two-day recording session in Oakland CA, or other designated location, to participate in the production of the highest rated song.

 

c) the highest rated song will be used in a professionally produced music video by persons within the music and film industry. Sponsor will pay for travel, accommodations and per diem expenses for the Featured Songwriter and up to one other co-writer, if applicable, to attend filming of the music video in a location to be determined later.

 

d) the participant with the highest rated song will receive five thousand dollars ($5,000). The participant with the second, third, fourth and fifth highest rated songs will receive one thousand dollars ($1,000).

d) Sponsor will post the recordings and video on songsforgood.org and related social media channels.

 

Estimated value of award package for top-rated song: $25,000

The odds of receiving the Award depend on the total number of eligible participants. No cash or other substitution of awards is permitted, except at the sole option of the Sponsor for Award of equal or greater value. Sponsor will not replace any lost or stolen Award. The Featured Songwriter is solely responsible for any and all federal, state, provincial and local taxes, if any, that apply to the Award.  

 

  • Award Notification:

    Award Notification: The awarded participants will be notified by email or other available means within five (5) business days of determination of the Award, and may be required to sign and return an affidavit of eligibility and publicity/liability release within seven (7) days of notification. If the determined participant cannot be contacted, is ineligible, fails to claim the Award and/or where applicable affidavits of eligibility and/or publicity/liability releases are not timely received, is incomplete or modified, the Award may be forfeited and offered to an alternate awarded participant determined by the Sponsor from remaining valid, eligible participants at the Sponsor’s discretion. Sponsor may successively attempt to contact up to three (3) potential alternate awarded participants in accordance with such aforementioned procedures, and if there is still no confirmed alternate awarded participants s of the Award after such attempts have been made, if any, the Award may be deemed forfeited and go un-awarded. In the event of a dispute regarding who participated as a participant, the participation will be deemed performed by the authorized account holder of the e-mail account specified for the participant. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the relevant e-mail address. No automatically generated participants will be accepted.

 

  • General Rules:

    By entering the Contest, you agree to having read and to be bound by these Official Rules and Sponsor’s Terms of Use at Songsforgood.org/officialrules. The Award is offered by Sponsor, and you agree that Sponsor shall not be responsible for any of the following (a) stolen, lost, late, misdirected, damaged, undeliverable, or incomplete, inaccurate, delayed participation or participation related data due to technical, computer, mechanical, printing, typographical, human, or other errors relating to or in connection with the Contest, including, without limitation, errors which may occur in connection with the administration of the Contest, notification or correspondence (whether by email or postal mail or otherwise), the processing of participation data, the announcement of the Award, or in any Contest related materials or data; (b) any technical failure of any kind, including but not limited to phone, electrical, network, computer, hardware, software, or transmission malfunctions, failures or difficulties; (c) failures of any of the equipment or programming associated with or utilized in the Contest; (d) unauthorized human and/or mechanical intervention in any part of the participation process or the Contest; (e) technical or human error that may occur in the administration of the Contest, the sending or processing of participation related data; or (f) any injury or damage to persons or property that may be caused, directly or indirectly, in whole or in part, from your participation in the Contest or the receipt or use of any award. If for any reason your participation or participation related data is confirmed to have been erroneously deleted, lost, or otherwise destroyed, corrupted, or for any other reason not accepted as participation or participation related data in respect of the Contest, your sole remedy is, insofar as participation in the Contest remains available, to participate anew in the Contest. Sponsor may rescind any participation or participation related data found to contain errors or failures without liability at its sole discretion. 


    By entering the Contest, you further agree to release, indemnify, defend and hold Sponsor and its respective parents, affiliates, subsidiaries, directors, officers, employees, sponsors and agents, including advertising and promotion agencies, and assigns, and any other organizations related to the Contest (collectively, the “Releasees”), harmless, from any and all claims, injuries, damages, expenses, or losses to person or property and/or liabilities of any nature that in any way arise from participation in this Contest or acceptance or use of any award or parts thereof, including, without limitation, (i) any condition caused by events beyond Sponsor’s control that may cause the Contest to be disrupted or corrupted; (ii) damage to your or any other person's computer or wireless device, or inability to access any Web site or other Web presence or wireless service; and (iii) any printing or typographical errors in any materials or data associated with the Contest. 

    AS A CONDITION OF PARTICIPATING IN THE CONTEST, TO THE EXTENT PERMITTED BY APPLICABLE LAW YOU AGREE THAT (A) UNDER NO CIRCUMSTANCES WILL RELEASEES BE LIABLE TO YOU FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS), OTHER THAN FOR ACTUAL OUT-OF-POCKET COSTS INCURRED ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE CONTEST, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT ANY OF THE RELEASEES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE; (B) ALL CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY AWARDS , SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; AND (C) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, BUT SHALL IN NO EVENT INCLUDE ATTORNEYS' FEES OR ASSOCIATED COSTS.

    If in Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, or if computer virus, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Contest, the Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the participation process or participation related data, void any participation made fraudulently, modify or suspend the Contest, or terminate the Contest, and, if possible and in its sole discretion only, select a participant from all eligible, non-suspect participants’ participation data received as of the date of the event giving rise to the termination.

    ANY ATTEMPT BY YOU TO UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK CIVIL AND/OR CRIMINAL PROSECUTION AND DAMAGES (INCLUDING ATTORNEYS' FEES) FROM YOU TO THE FULLEST EXTENT OF THE LAW.

  • Additional Conditions: 

Cash Award

Participants with the five highest-rated songs must complete an Internal Revenue Service Form W-9 in order to receive the full award amount. Checks will be mailed to the address provided.

License

Participants shall retain ownership over each of his or her own submissions. For a period of two years you grant to Sponsor a nonexclusive, royalty-free, perpetual, irrevocable, transferable, worldwide license (with the right to grant and authorize sublicenses) to make, have made, use, import, reproduce, distribute, modify, adapt, prepare derivative works of, display, perform, and otherwise utilize participants entries, without restriction, including, without limitation, as part of or in connection with such Invention, and to practice any method related thereto.

 

Publicity

Except where prohibited or restricted by law, by participating in the Contest and/or winning the Award you agree to Sponsor using and/or publishing your full name, city and state or province of residence, photographs or other likenesses, voice, biographical information (in whole and in part), and/or statements made by you regarding the Contest or Sponsor, worldwide and in perpetuity for any and all purposes, including, but not limited to, advertising, trade and/or promotion on behalf of Sponsor, in any and all forms of media, now known or hereafter devised, including, but not limited to, print, radio, electronic, cable, or the Internet, without further limitation, restriction, compensation, notice, review, or approval. 

 

Official Rules Changes

Sponsor reserves the right to change the Official Rules at any time. If Sponsor makes what it considers to be material changes to the Official Rules, they will be posted at this website songforgood.org. Your continued participation in the Contest following such notice of a change signifies your acceptance of those modifications. If you breach any of these Official Rules, your authorization to participate in the Contest automatically terminates.

 

Contest Changes

Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Contest in whole or in part, in the event of fraud, technical or other difficulties, or if the integrity of the Contest is compromised, without liability to any participant. Sponsor reserves the right to disqualify any participant, as determined by Sponsor, in its sole discretion. The Contest is subject to these Official Rules and all applicable federal, state, provincial and local laws and regulations apply. The Contest is void where prohibited or restricted by law. 

Non-Affiliations

Songs for Good is not affiliated with any third parties in the production of this Contest. This includes any third party software of platforms Participants may utilize in submitting entries and/or videos.

 

Governing law and Jurisdiction

These Official Rules are governed by the law of the State of California, excluding rules governing choice of laws. Any action, suit or case arising out of, or in connection with, this Contest or these Official Rules must be brought in the federal or state courts of Contra Costa County, California, USA, and you consent to personal jurisdiction in those courts.

 

Privacy

By participating in the Contest, you agree (i) that you have reviewed and accepted these Official Rules, Sponsor’s privacy policy at songsforgood.org/rules; (ii) to Sponsor’s collection and use of your personal information and data within the context of, and for the purposes of administering, the Contest and for any other purposes as outlined in these Official Rules; and (iii) that your personal information and data may be processed, stored, and otherwise used in the United States. You further agree that such personal information and data may also be used by Sponsor to check your identity, email and/or postal address, and telephone number, or otherwise to verify eligibility to participate in the Contest.
